Terms and Conditions for DEMAT Account Opening via Rupeeflo

These Terms and Conditions ("Terms") govern the use of Rupeeflo’s platform, mobile application, and related services for opening a Non-Resident Indian (NRI) DEMAT account ("DEMAT Account") through Rupeeflo. By initiating or continuing the DEMAT account opening journey, you (“User”, “You”) agree to be bound by these Terms.

1. Scope of Services

1.1 Rupeeflo acts as a facilitation and orchestration platform that enables NRIs to complete the DEMAT account opening process in a digital-first manner.

1.2 Rupeeflo is not a stockbroker, depository participant, or bank. DEMAT accounts are opened and maintained by SEBI-registered brokers and depository participants ("Financial Partners").

1.3 The DEMAT account opening journey offered by Rupeeflo includes the following integrated steps:

  • Document Upload and Review

  • Notarization of documents

  • Physical document courier / pickup

  • Application submission and status tracking

1.4 Final approval, activation, and maintenance of the DEMAT Account rests solely with the Financial Partner.

2. Eligibility

2.1 You must be a Non-Resident Indian (NRI) as per applicable Indian laws and regulations.

2.2 You must be at least 18 years of age at the time of application.

2.3 You must hold a valid Permanent Account Number (PAN) issued by the Government of India.

2.4 You must have an active NRE and/or NRO bank account with a bank supported by Rupeeflo at the time of application.

2.5 Users identified as Politically Exposed Persons (PEPs) are currently not supported.

3. User Declarations and Responsibilities

3.1 You declare that all information and documents submitted during the DEMAT account opening journey are true, complete, accurate, and up to date.

3.2 You acknowledge that any mismatch, inaccuracy, or misrepresentation may result in:

  • Rejection of the application

  • Cancellation of the application

  • Delay in processing

3.3 You are responsible for ensuring that uploaded documents:

  • Belong to you

  • Are valid and unexpired

  • Meet quality and format requirements communicated in-app

3.4 You agree to promptly respond to any requests for clarification, re-upload, or additional information.

4. Document Upload and Review

4.1 Documents uploaded by you will undergo automated and manual review for completeness and compliance.

4.2 Document review outcomes may include:

  • Approved

  • Re-upload requested

  • Application rejected

4.3 Rupeeflo does not guarantee acceptance of documents, as final verification is conducted by the Financial Partner.

4.4 Uploaded and notarized documents are retained for 30 days from initiation of the DEMAT journey. If the process is not completed within this period, the application may be cancelled and restarted.

5. Payments, Pricing, and Refunds

5.1 Fees collected through Rupeeflo for all related services.

5.2 Pricing, discounts, and payment timelines are communicated transparently within the application.

5.3 Rupeeflo may offer time-bound discounts at certain stages of the journey.

5.4 Refund Policy:

  • A full refund is applicable only if the Financial Partner rejects the DEMAT account after the user has completed all required steps.

  • Refunds are not applicable in cases of voluntary drop-off, incomplete submission, or user-initiated cancellation.

5.5 Refunds, if applicable, will be processed to the original payment method within reasonable timelines after receiving a request from the customer.

6. Account Approval and Activation

6.1 Rupeeflo does not control or guarantee approval of the DEMAT account.

6.2 Account approval timelines depend on the Financial Partner’s internal verification processes.

6.3 Once approved, account access, trading, and investments are governed by the Financial Partner’s terms and policies..

7. Data Usage and Retention

7.1 Personal data and documents are processed solely for the purpose of DEMAT account opening and compliance.

7.2 Documents are retained for a minimum of 180 days, unless required longer due to regulatory or partner obligations.

7.3 Data handling is subject to Rupeeflo’s Privacy Policy.

8. Limitation of Liability

8.1 Rupeeflo shall not be liable for:

  • Rejection of DEMAT applications by Financial Partners

  • Investment losses or trading decisions

  • Delays caused by third parties (banks, brokers, notaries, couriers)

8.2 Rupeeflo’s liability, if any, shall be limited to the fees paid by the user for the specific service.

9. Suspension and Termination

9.1 Rupeeflo reserves the right to suspend or terminate access to the DEMAT journey if:

  • Information provided is false or misleading

  • Regulatory or compliance issues arise

  • Misuse of the platform is detected

10. Amendments

10.1 Rupeeflo may modify these Terms from time to time.

10.2 Continued use of the DEMAT account opening services constitutes acceptance of updated Terms.

11. Governing Law and Jurisdiction

11.1 These Terms shall be governed by and construed in accordance with the laws of India.

11.2 Courts located in Bangalore, Karnataka, India shall have exclusive jurisdiction over disputes arising from these Terms.
